General Terms and Conditions of Sale – PHCPreproductions (B2B Wholesale)

1. Seller's Presentation

These General Terms and Conditions of Sale (GTCS) apply to all sales concluded between:
PHCPreproductions, a sole proprietorship registered in France, operated by Costa Frédéric

hereinafter referred to as “the Seller”,

and any professional wishing to acquire reproductions of artworks, hereinafter referred to as “the Client”.


2. Purpose

These GTCS govern the wholesale of reproductions of artworks, primarily by artist Philippe Costa (1923–1990), as well as other artists represented by PHCPreproductions.
Reproductions are made on rigid supports (Forex) or any other equivalent support, according to the Seller's choice.


3. Scope

These conditions exclusively concern sales made between professionals, for orders of at least six (6) units per reference.
Any order implies the Client's unreserved acceptance of these GTCS.


4. Products

The products offered are reproductions of artworks for decorative use.
The visuals, dimensions, supports, and colorimetry are given for informational purposes.
Minimal variations may appear depending on the printing medium without affecting the conformity of the product.


5. Orders

All orders must be confirmed in writing (email, purchase order, signed quote).
The minimum order is set at 6 units per reference.
The Seller reserves the right to refuse any order that does not comply with this minimum.


6. Price

Prices are expressed in euros excluding taxes (HT).
Delivery is included in the price.
Any potential price changes will be notified before order validation.


7. Payment

Payment is required in full before shipment of the order.
Payment can be made by bank transfer or any other method accepted by the Seller.
No shipment will be made until effective receipt of funds.


8. Delivery

Deliveries are made only in mainland France.
Shipping costs are included in the selling price.
Delivery times are indicative and may vary depending on the production workload.
The Seller cannot be held responsible for delays attributable to the carrier or to cases of force majeure.


9. Receipt and Claims

The Client must check the condition of the goods upon receipt.
Any claim concerning a defective or damaged product must be reported within 48 hours of receipt, with supporting photos.
Defective products will be replaced or refunded after return to PHCPreproductions, at the address indicated by the Seller.
No returns will be accepted for reasons other than a manufacturing or transport defect.


10. Intellectual Property

The reproductions marketed by PHCPreproductions are made with the authorization of the rights holders of the artist Philippe Costa (1923–1990).
The copyright and reproduction rights of the works remain the exclusive property of the rights holders.
The Client has no right to reproduce, distribute, or exploit secondary use of the visuals provided, other than for their resale as finished products purchased from PHCPreproductions.

Any reproduction, duplication, digitization, or modification of images, visuals, or works is strictly prohibited without prior written authorization from the Seller.


11. Non-Reproduction Clause

The Client undertakes not to reproduce, copy, or have reproduced the acquired works, in whole or in part, on any medium whatsoever, under penalty of prosecution for infringement.
This prohibition includes digital, photographic, or printed reproduction.


12. Retention of Title

The products remain the property of PHCPreproductions until full payment of the price.
As of delivery, the Client assumes the risks of loss, theft, or deterioration of the products.


13. Liability

The Seller cannot be held liable for direct or indirect damages caused by the use or improper installation of the products.
In the event of serious breach, the Seller's liability will be limited to the total amount of the order concerned.


14. Force Majeure

The Seller cannot be held liable for delay or failure due to an event of force majeure (strike, natural disaster, war, major breakdown, etc.).


15. Competent Jurisdiction and Applicable Law

These GTCS are governed by French law.
Any dispute relating to their interpretation or execution will be submitted to the Commercial Court having jurisdiction over the Seller's registered office, which shall have sole jurisdiction.


16. Acceptance of Conditions

Placing an order implies full and unreserved acceptance of these General Terms and Conditions of Sale.
